MAYATEX Wholesale Terms and Agreement

Dear Wholesale Applicant,

Thank you for considering MAYATEX as a resource for your western lifestyle products. Our goal is to offer our wholesale customers the highest quality products available. All MAYATEX Wholesale Accounts should promote and protect the MAYATEX brand as well as operate to the MAYATEX standard and expectation. The following wholesale account guidelines outline what is required in order to uphold that standard and expectation. All potential new customer accounts must be properly reviewed prior to approval. 

To be considered for a wholesale account with MAYATEX, you must meet the following conditions:

Your business must fall under at least one of these business models
• Brick and Mortar Store: Storefront with proof of address and location. Pictures of store exterior and interior can be provided through email. This cannot be a third party storefront. 
• Online Shop: Secure, branded website with completed and functional design. This cannot be a third party website. MAYATEX must only be sold on the approved website and no other business channels. Website must have a working “shopping cart” with a secure checkout.
• B&M and Online Retailer: Must meet all requirements above for B&M and Online businesses. 
• International Retailers: We welcome applications from international accounts with a storefront and/or online shop. Images of the exterior and interior of your store and/or valid web address are required. Must be able to pay via credit card. All shipping fees, duties and taxes, and insurance related to the products will be the responsibility of the customer. 
The following business models do not meet our requirements for wholesale partnership 
• Marketplace or 3rd Party Websites: MAYATEX does not authorize accounts to sell our product on any 3rd party websites. Please understand that selling to a third party website or unauthorized retailer will result in termination of wholesale account privileges.
• Any website claiming to be a “wholesale” provider. 

Before you can be considered as a new wholesale account MAYATEX must have the following: 
• MAYATEX Wholesale Application completed and returned 
• Copy of business State Tax Resale Certificate (as applicable per state)
• Copy of Business Registration License or Certificate(as applicable per state) 
Signed copy of the MAYATEX Wholesale Terms and agreement  Images of your store and/or web address.

Upon acceptance as an MAYATEX Wholesale Account, you agree to the following terms: 

Advertising 

Retailers may only use Facebook, Instagram, Twitter, or other social platforms as a promotional platform in order to advertise MAYATEX product. Marketing thru social platforms is approved if the point of sale is direct from the store versus social platform. 

• You are welcome to feature our products in email blasts but make sure to use hi-res, professional images and brand appropriate copy. 
• You are welcome to use our website images for product, and any copy found on our website as well. 
• You cannot make it appear as if the customer is purchasing from MAYATEX. You must make it clear that they are purchasing the items from you. 
• We reserve the right to ask you to remove any advertising that we find unacceptable.

Ordering Information
• First order has to be at least $1,000.00.
• Must order at least $1,000.00 per year (excluding shipping) to continue to hold a wholesale account with MAYATEX.

• Shipping courier will be determined according to the weight and size of the package by MAYATEX. Shipping charges are based on the actual dimensional weight rates. 

Payment/Terms
Upon acceptance, dealers must pay prior to shipment by credit card or mail in check, cashier’s check or money order. If approved, you may receive Net 30 terms for large orders.  At this time MAYATEX is not accepting payments COD.

MAYATEX is under no continuing obligation to supply you with MAYATEX products and mayterminate any agreement between MAYATEX and you at any time and for any reason. MAYATEX does not grant you an exclusive right to sell MAYATEX products, and may sell MAYATEX products to other retailers and directly to consumers at its sole discretion.

I (we) have completed this application with the intent of opening a wholesale account with MAYATEX. By signing below, I (we) agree that all information provided to MAYATEX is true and accurate and may be released to MAYATEX or its agent. This application may be produced for references to verify the release. In addition, I agree that MAYATEX may verify this information with any other sources it uses or deems necessary. This agreement will be governed in accordance with the laws of the State of Texas. For the purpose of resolving any issue pertaining to conflict of laws or otherwise, this Agreement shall be fully and solely executed, performed and/or observed in the State of Texas. The parties hereto also expressly consent to personal jurisdiction in the State of Texas in the action or proceeding brought in any court therein, state or federal, arising from alleged facts part of any transaction between the parties pursuant to this Agreement.

By signing below you agree to the terms and conditions of the 4 page ‘MAYATEX Wholesale Terms and Agreement’ document of which this is the fourth page. You will keep the first 3 pages of this document for your records. You agree that this document will be re-sent at the time your business license is to be renewed and you will have to sign and return again with a new copy of your business license once renewed.
